A noncompete agreement restricts working for a competitor or opening a competing business. Its meaning is separate from enforceability: California and New York apply different rules. The FTC’s nationwide Noncompete Rule is not in effect.

Start with the document and your situation

A noncompete can be a section within an employment contract or a separate agreement signed before or after work begins. Start by finding the actual wording, rather than relying on a recruiter’s summary. Mark every incorporated attachment and ask for a complete copy to review.

Use this table as an issue list for counsel. It gives named examples, not a determination of which state governs your contract. Record where you work, where you plan to work, when you signed and whether the agreement came with an ordinary job or a business transaction.

Which review should you start with?

Read the activities, time and territory separately

For a New York noncompete, the AG identifies reasonable time and geographic scope as a required condition. It also says restrictions must not exceed what the employer needs to protect legitimate interests. Read the New York AG’s explanation.

For your reading exercise, underline the verbs: working, owning, advising, selling or accepting business. Then circle the defined competitors and the event that starts the restriction. Finally, draw a line around the territory and duration. Do not fill in missing definitions with an oral assurance. Ask for the proposed clarification in writing.

Fictional clause for a reading exercise, not a proposed enforceable term

After your employment ends, you agree not to perform sales services for a business providing the same product in the territory listed in Schedule A during the restricted period stated in Schedule B.

Worked example: what this wording leaves unresolved

Imagine a salesperson reading that sample. Before discussing a new role, ask: which product counts as the same product? Does sales services include account management? Where are the schedules? What event ends employment? What is the restricted period? List these as unresolved document questions, not conclusions about what a court would enforce.

For New York, also ask what legitimate interest supports each proposed restriction, whether it creates unnecessary employee hardship and whether it harms the public. This connects the reading exercise to an identified state standard. A completed worksheet should show the clause language beside the supporting explanation, rather than simply marking the whole agreement reasonable.

State examples explain why meaning is not enforceability

In New York, the AG describes protection of legitimate employer interests, no unnecessary employee hardship, no public harm, and reasonable time and geography as required conditions. Trade secrets and confidential information are examples of those interests.

California’s employment rule is different: its statute broadly voids employment noncompetes that do not satisfy a chapter exception, regardless of narrow tailoring. The same chapter includes a business-sale goodwill exception. Read California section 16600 together with the relevant exception, not as a statement that every transaction restraint is identical.

Minnesota’s covered noncompetes are void under its statute, subject to its business-sale and dissolution exceptions. The enactment applies to agreements entered into on or after July 1, 2023. Its employee definition includes independent contractors. Ask for a date-specific review of older agreements rather than applying the enactment backwards. Read Minnesota’s statute.

Washington currently presumes durations exceeding eighteen months after termination unreasonable and unenforceable, subject to rebuttal. That is a presumption, not a promise that a shorter clause passes every other requirement. Read the whole current version and have the earnings, disclosure and employment circumstances reviewed.

Check the FTC status and Washington’s future version

The FTC’s official notice says the Noncompete Rule is not in effect and is not enforceable. Do not read the rule text displayed below that notice as an active nationwide release from your signed agreement.

Washington’s enacted future version says its noncompetition covenants become void and unenforceable beginning June 30, 2027, regardless of when entered. On this article’s last-checked date, that is a future change. Its official page displays both current and future provisions. Read the effective-date heading before applying a paragraph.

A practical review note can have separate columns for today’s rule and a future change. Put the date and source beside each. Avoid writing simply banned when the source describes a future effective date. Ask counsel how a transition affects the particular agreement and proposed work.

Distinguish confidentiality and customer restrictions

Minnesota excludes nondisclosure and trade-secret or confidential-information protections from its statutory noncompete definition. Washington’s current definition excludes a nonsolicitation agreement and a confidentiality agreement. These are scoped statutory distinctions, not a national promise that every clause carrying those headings is valid.

Washington’s current definition also includes agreements directly or indirectly prohibiting acceptance or transaction of business with a customer. This detail matters when a document is presented as a customer restriction rather than a competitor restriction. Compare Washington’s definitions.

In your worksheet, separate restrictions on disclosure, approaching customers, accepting customer work and joining a rival. Copy the words instead of relying only on the document’s label. For confidential-information terms, our NDA guide can help organize the separate document review.

Minnesota expressly preserves other contract provisions despite a void noncompete. Do not assume an issue with the competition clause erases the rest of an employment or separation agreement. Keep each obligation on its own line for review.

Use a checklist and ask for a written explanation

The New York AG says no law requires you to sign a noncompete and that you can try negotiating its terms. That does not answer every employment consequence of declining the particular proposal. Ask the employer to explain its hiring position and give yourself a document trail.

The AG recommends reading and understanding documents before signing. Use the following as a practical preparation checklist, not a substitute for a state-specific legal opinion.

Sample review request to adapt

Please send the complete proposed restriction and all schedules. Before I decide whether to sign, please identify the restricted activities, competitors, territory, duration and the interest each restriction protects. Please also confirm whether you will consider a narrower alternative and allow time for legal review.
  1. Ask whether the offer includes a noncompete before accepting; this follows the New York AG’s guidance.
  2. Collect the complete agreement, schedules and earlier versions. Mark the activities, timing and territory you need explained.
  3. Write down your current and planned job duties. Identify differences you want counsel to compare with the exact wording.
  4. Ask what the employer offers in exchange and when the restriction was first disclosed. For a later Washington covenant, independent consideration is a current statutory issue.
  5. Request a review of the relevant state law and transaction category before proposing a replacement clause.
  6. If a demand arrives, preserve it and arrange prompt review with a lawyer licensed in the relevant state.

Treat a demand as a separate review task

The New York AG explains that an employer can sue and ask a court to enforce a noncompete. If you receive a threat or claim, bring the signed agreement, demand, offer documents and proposed duties to counsel. Avoid responding with a categorical statement based on an old article about a nationwide ban.

Washington’s current remedies expressly address situations where a court or arbitrator reforms, rewrites, modifies or only partially enforces a covenant. Ask counsel about that provision if an employer says the court can simply narrow its wording without consequence. Read the current remedies section.

Frequently asked questions

What is the purpose of a noncompete?

For New York, the AG describes protection of legitimate employer interests as a required justification. Its examples include trade secrets and confidential information. The restriction must not exceed what is needed for those interests.

Does signing mean I cannot work for any competitor?

The agreement seeks to restrict competitor work or a competing business. Its precise wording and the applicable state’s enforceability rules need separate review. For New York, necessity, employee hardship, public harm and reasonable scope matter.

Can I say no to a noncompete?

The New York AG says no law requires a signature and that you can try negotiating terms. Ask for the employer’s written position on the offer and obtain state-specific advice before deciding.

Are all noncompetes banned by the FTC?

The FTC says its Noncompete Rule is not in effect and not enforceable. Check the governing state rule and your actual agreement rather than treating that rule as an active release.

Does a short noncompete automatically become valid?

California’s employment rule expressly rejects narrow tailoring as a cure where no chapter exception applies. Washington’s current duration presumption for restrictions exceeding eighteen months is a different rule. Neither example supports a universal safe duration.

Does the Minnesota rule cover contractors?

Minnesota’s employee definition includes independent contractors. Its enactment applies to agreements entered into on or after July 1, 2023, with the statutory transaction exceptions still relevant.

Does an invalid noncompete erase every other promise?

Minnesota expressly says its rule does not void other contract provisions merely because a noncompete is void. Keep confidentiality and other obligations on separate review lines.
