Contract Redlining Software: Test the Word Exchange
By Anirudh Menon, Viaclause editor
Compare Word tools, comparison apps, AI add-ins and CLM platforms, then test your shortlist with a repeatable Word round trip.
Choose contract redlining software by running the synthetic Word exchange below: test accepted edits, a pending edit and an untracked fee change. Then shortlist comparison tools, playbook add-ins or approval platforms for your bottleneck. Vendor features are starting points, not performance rankings; test exported files with your counterparty’s setup before buying.

Run this two-round Word exchange test
Hiding markup does not remove revisions. Preserve D; use Accept/Reject only on control copies.
Build A in Word from this synthetic text: numbered headings, a two-column fees table and a heading cross-reference. Ten minutes is a suggested initial trial budget, not measured completion time.
Legal blackline, in Microsoft 365 and Windows desktop Word, prompts when either input has tracked changes. Yes accepts them for comparison: original revisions are accepted in the third document; changes in the revised document are shown as tracked changes. Record original/revised filenames, prompt choice and options. Source files stay unchanged.
Copyable synthetic A.docx fixture and exact two-round edits
1. Payment Customer pays each undisputed invoice within 30 days of receipt. 2. Incident notice Supplier notifies Customer within 24 hours after discovering a security incident. Fees table, item | amount: Setup | USD 100; Monthly service | USD 200. Cross-reference: Payment timing follows [insert Word cross-reference to heading 1. Payment]. A to B: track 30 to 45. Finance comment: Finance requests 45 days. Please confirm before acceptance. B to C: accept payment; track 24 to 48. Security comment: Security proposes 48 hours. Approval remains pending. Leave both threads unresolved. Untracked: Monthly service 200 to 250. C to D: leave notice pending. Compare-only: prepare files in Word, compare A/D and C/D. Accept/reject D copies using the table; neither decision undoes the untracked fee edit.
- Editing tools: track payment 30 to 45 days, attach Finance’s comment and export B. Compare-only tools: create B in Word; skip editing inside Draftable Compare or Litera Compare.
- In counterparty Word, accept payment. Track notice 24 to 48 hours; attach Security’s comment. With tracking off, change Monthly service USD 200 to USD 250; restore tracking. Save C.
- Editing tools: import C and export D without accepting notice. Compare-only tools: copy C to D; compare A original/D revised and C original/D revised. Keep comparison outputs separate.
- Inspect D: payment settled, notice pending, fee untracked. A/D must flag all three differences; C/D should have no substantive wording difference. Accept/Reject cannot recover the untracked fee change.
- Accept remaining changes in one D copy; reject them in another. Check the expected-state table, comments and structure.
| Control | Payment | Incident notice | Other expectations | Monthly service |
|---|---|---|---|---|
| Export D before decisions | 45 days, accepted | 24 to 48 hours pending | Finance comment at payment and Security at notice; numbering and cross-reference intact | USD 250, untracked |
| Accept copy of D | 45 days | 48 hours | No reopened payment edit | USD 250 |
| Reject copy of D | 45 days | 24 hours | Rejecting pending notice does not undo accepted payment | USD 250 |
| Compare A original / D revised | 30 to 45 days | 24 to 48 hours | Flag all three specified text differences; record comparison settings | USD 200 to USD 250 |
| Compare C original / D revised | No wording difference | No wording difference | No substantive text difference; compare output is separate from review state | No amount difference |
Eight documented tools to put through your trial
Product information checked October 11, 2026. “Fit” means a documented workflow to investigate, not a best-tool award or a tested result. Confirm the specific edition and access conditions.
| Tool | Workflow fit | Word or browser | What to test |
|---|---|---|---|
| Litera Compare | Saved-version comparison | Windows Desktop or Office 365 app | Silent edit, comments and fee table |
| Draftable Compare | Legal document comparison | Windows desktop; confirm export tier | Tracked-change export and numbering |
| Spellbook | Playbook-based review | Word add-in | Fallback threshold and unnecessary edits |
| LegalOn | Review against configured standards | Word and web access | Custom playbook entitlement and export |
| Harvey | Custom review agents | Word add-in; agents configured in web app | Suggestion preview, comment and tracked edit |
| Sirion | Drafting and negotiation agents | Documented Microsoft Word workflow | Required-clause detection and redline return |
| DocJuris | Review and broader intake work | Word pane plus browser platform | Same playbook and comment anchor across exchanges |
| BlackBoiler | First-pass markup from defined positions | Tracked changes in Word | Prior language, fallback and human decision |
Which kind of redlining software do you need?
These are four overlapping tool categories, not a ranking. An editor proposes wording. A comparison tool detects differences between saved versions. AI proposes changes against instructions. Contract lifecycle management, or CLM, coordinates review and approvals across a wider process. Buying the largest platform first can add work without solving the immediate problem.
If your team already negotiates effectively in Word, start by identifying a specific failure: missed silent edits, inconsistent fallback language, lost comments or approvals scattered across email. Require a demonstration of that failure being controlled. Do not use software category labels as proof of compatibility.
| Your situation | Starting category and documented examples | What to test |
|---|---|---|
| Few reviewers; visible proposed edits | Word Track Changes: Microsoft instructions | Accept/reject states, version naming and external return file |
| Need to find silent changes | Litera Compare or Draftable Compare: Litera; Draftable | Comparison accuracy, export tier and formatting |
| Need a playbook-based first pass | Word-based Spellbook or LegalOn: Spellbook; LegalOn | Missed risks, unnecessary edits, fallback boundaries and human review |
| Need routing and approvals | Ironclad, Juro or Docusign CLM: Ironclad; Juro; Docusign | Approval roles, external access, returned Word files and final record |
A feature is not a test result
Official documentation establishes what a vendor describes. It does not establish performance on your contracts. Litera describes comparing tables and comments and saving redlines or merged documents. Docusign describes review routing, version control, comments and tasks. Those are reasons to shortlist and test, not grounds to promise that every exchange preserves every document feature.
Compare the licence, export tier and implementation cost
Pricing basis checked October 11, 2026. Confirm the controlling order form, product edition, seats, support, renewals and integrations. A desktop licence and a complete CLM implementation purchase different services.
Draftable lists Windows desktop availability and future Mac support. Do not plan a present Mac rollout on a roadmap. Litera’s inspected store distinguishes its Windows Desktop product from a device-agnostic Office 365 app. Test the specific edition and operating system named in the purchase order, especially where your counterparty uses a different Word version.
Add setup, training, legal playbook maintenance, integration charges and manual repair time to the licence cost. For an explicitly hypothetical budget: six repair minutes across forty returned files per month is 240 minutes, or four hours. Multiply those assumed hours by your own documented internal cost. This calculation is a worksheet, not a vendor performance measurement.
| Product | Official information inspected | Question before purchase |
|---|---|---|
| Draftable Compare | Legal tier: USD 261 per user per year, billed annually; Export redlines (Docx, PDF, Excel, PPT) | Confirm the quoted tier matches these export formats |
| Litera Compare Desktop | One-year subscription with automatic renewal | Confirm current price, renewal process and exact Windows/Office compatibility |
| Spellbook | Custom price based on licensed team members | Which seats, playbooks, support and trial scope are included? |
| LegalOn | Core Review includes Word and web access; Suite adds custom My Playbooks | Does the quote include the custom playbook work you need? |
| Juro | Unlimited users, workflows and templates; volume and integration-based pricing | Ask about implementation and extra cost for deeper integrations |
Record pass or fail against each expected file state
Keep expected and observed states with file evidence. Synthetic RT-03 failure: Security’s comment moves from notice to payment. Correct sentences cannot compensate for a wrong anchor. Repair and repeat that export; this is an invented example, not an observed vendor defect.
Mark each control pass, fail or untested. Payment passing cannot compensate for a failed fee comparison or comment. Retest failures before acceptance; do not assign points or a combined product score.

Test the playbook and the reviewer’s authority separately
A useful playbook states a preferred clause, allowed fallback, approval threshold and escalation owner. Test a missing required clause as well as an unfavorable existing clause. Also include a clause that already meets policy: needless rewriting creates review work and can change the bargain. Your test set should measure both missed problems and unnecessary changes.
Ironclad’s precise-redlining instructions describe playbook setup, clause-approver permissions and a presence rule for required clauses. They also acknowledge that models may miss key clauses. Check the actual configuration rather than assuming an AI button knows which clauses your organization requires.
For a synthetic cap test, instruct the tool to prefer twelve months of fees, allow six only with Legal approval, and escalate three. Record whether it identifies three as an exception, proposes the allowed path and sends the decision to the right person. These numbers are arbitrary test policy, not a recommendation for any particular contract.
Accepting an edit in a file and authorizing a commercial concession are separate events. Document who approves the amount, who approves wording and who may release the final draft. An author label in tracked changes is useful file metadata, not proof of identity or delegated authority.
Check internal comments, access and data handling
Microsoft says @mentions do not restrict comment visibility to the person mentioned. It also says resolved threads remain until deleted and can be reopened. Put internal fallback notes in the appropriate internal channel; do not treat a resolved comment as removed from an external file. Check the exported file itself, not just the vendor’s review panel.
Run Document Inspector on a copy at the appropriate finalization stage because removal may be irreversible. Keep the negotiation record under your organization’s retention rules. During active negotiation, indiscriminate cleanup can erase markup the other side still needs to decide.
For vendor diligence, request the applicable processing terms, subprocessors, data locations, retention and deletion settings, access permissions and whether customer content is used for training. Ask which documents support each answer. A logo or certification name does not establish that your configuration, data type and proposed use are covered. Do not enter privileged or regulated material until the responsible people approve the process.
Shortlist by evidence and leave the demo with a decision
Give two or three candidates the same fixture and playbook. Record the licence basis, trial scope, exported results, reviewer time, defects and repair time separately. Your team may choose a comparison tool for silent changes while retaining Word for negotiation, or choose a CLM because approval routing is the real bottleneck. The result should follow the observed workflow, not an unsupported best-tool badge.
Before signing, request a written list of included features, integrations, implementation tasks, support commitments and renewal terms. Save your test receipt with the purchase decision. Repeat the critical checks when a product update, new integration or different counterparty editor changes the route.
Use the Word legal-blackline comparison as an additional control when a returned file has silent edits. It compares saved documents, rather than proving that every tracked change in the negotiation has been preserved. For execution preparation, follow our [redlining workflow](/blog/how-to-redline-a-contract) and keep a clear approved version.
Frequently asked questions
What is contract redlining software?
It supports proposed edits, document comparisons or contract review workflows. Choose the category for your bottleneck, then verify the exported files and approval controls on a repeatable trial.
Can ChatGPT redline a contract?
It can propose wording, but a chat response does not itself prove tracked-change fidelity, complete risk detection or authority to approve. OpenAI’s terms require evaluating output for accuracy and appropriateness with human review as appropriate. Use approved data handling and test the resulting document. OpenAI terms
Is Word enough for contract redlining?
It can be enough when visible edits and a controlled file process solve your needs. Dedicated comparison, playbook or routing tools address different problems. Test the actual counterparty exchange before adding a platform.
Does a Word add-in guarantee a successful exchange?
No performance guarantee follows merely from that label. Test the exact edition, operating systems, returned file, accepted edits, pending edits, comments and formatting.
What does the software cost?
As checked October 11, 2026, Draftable lists its legal tier at USD 261 per user per year billed annually. Other inspected plans use different licensing or tailored quotes. Compare implementation, integration and repair costs as well as subscriptions.
What is the difference between blacklining and redlining?
A blackline generally compares two saved versions; redlining generally refers to proposing and reviewing edits. Terminology varies. Ask whether the output contains actual editable tracked changes, a visual comparison or both.
What are the top ten CLM platforms?
A numbered ranking would require defined evaluation criteria and actual evidence. This guide instead identifies documented workflow examples and a trial you can run. CLM breadth is useful only if you need the additional routing, repository and implementation work.
Should I delete resolved comments before sending a file?
Check your audience and process. Resolved threads can remain in Word. Prepare an appropriate external copy, preserve the internal record and verify that private comments are removed without erasing pending edits.
