Order Form vs. Master Agreement: How to Check a Contract Conflict
By Anirudh Menon, Viaclause editor
A seven-field worksheet and three examples help procurement separate real conflicts from compatible terms and keep each answer tied to the right order.

When an order form and master agreement disagree, identify the exact conflict before deciding which document controls. Read the precedence wording, check its scope and confirm that you have the applicable versions. A clause favoring one order may not change another order, a privacy addendum or the whole commercial relationship.
Use the lawyer review packet checklist to assemble the documents and unresolved questions for advice.
For procurement, the immediate job is to produce a question counsel can answer: “These two provisions appear inconsistent for this transaction. Does this priority clause resolve that particular difference?”
Read the boundary as carefully as the ranking
HubSpot's Customer Terms, section 12.15, give an Order priority over conflicting Agreement terms, limited to that Order. Section 12.8 also rejects additional or different terms proposed through a customer's purchase order and other channels. The defined vendor Order and a buyer's purchase order should not be treated as interchangeable.
Check the statement of work template when the lower-level document defines deliverables and acceptance.
A different example appears in the Amazon Compute SLA's opening paragraph: the SLA takes priority over conflicting governing-agreement terms only to the extent of the conflict. That is a targeted priority rule. It is not an instruction to discard the rest of the governing agreement.
These are examples from specific published terms, not a universal rule about SaaS documents. Your executed agreement, incorporated documents, amendments and applicable law need their own review.
Build a conflict record with seven fields
This is our proposed worksheet. Copy one block for each issue rather than writing “the contracts conflict” at the top of a folder.
- Decision: What operational action depends on the answer? State the payment, deadline, access or other decision.
- Document A: Name, version, execution or effective date, clause and exact relevant wording.
- Document B: The same details for the apparently inconsistent provision.
- Difference: Explain why both instructions cannot be followed for this transaction, or mark the difference as merely suspected.
- Priority wording: Record the clause and every qualification that could matter, including limits by order, subject or conflict.
- Missing material: Amendment, incorporated policy, product schedule, accepted order or another document needed to resolve the question.
- Decision owner and date: Who will confirm the interpretation before anyone changes payment, gives notice or signs?
Keep proposed wording separate from executed wording. A redline or sales email may explain what you intended, but it should not be silently substituted for the document you are trying to interpret.
Three examples that produce different questions
The following are hypothetical, not findings about either vendor above.
Example 1: a genuine payment conflict. An executed order says its invoices are payable in 45 days; the master terms say 30 days. If a clause gives that order priority for conflicts, the focused question is whether the 45-day term governs those invoices. Ask about that order and those charges. Do not automatically change the payment setting for every order on the account.
Example 2: two provisions that can coexist. The order sets a one-year subscription term. The master agreement requires payment within 30 days of invoice. Those provisions concern different things. Recording them as a conflict would create unnecessary review work. First establish whether there is an actual incompatible instruction.
Example 3: an unresolved priority conflict. The master agreement says it controls over all schedules, while a signed schedule says it controls over the master agreement. Copy both priority provisions and any amendment requirements into the record. Mark the conclusion unresolved and ask counsel what additional facts and law matter. A general AI answer that “the latest document wins” would not settle this record.
Keep the answer attached to its scope
Once counsel or the authorized contract reviewer confirms an interpretation, record which order, issue and version it addresses. If the conclusion changes an operational date, update that date and link back to the supporting record.
For example, a confirmed payment term belongs beside the relevant invoice instructions. A confirmed renewal notice period belongs in the renewal owner's calendar and escalation process. A resolution for Order A should not be copied to Order B without checking whether the same documents and terms apply.
If the issue concerns an increased renewal quote, use the price comparison worksheet after identifying the relevant terms. Arithmetic can show the size of an increase; it cannot decide which contract provision authorizes it.
Use AI to organize the record, with a human decision point
For documents you are authorized to process in an approved tool, ask it to list possible conflicts with exact excerpts and document locations. Require separate fields for “apparent difference,” “priority clause” and “missing information.” Do not ask it to choose the governing term without exposing the evidence behind that choice.
Check every extracted passage against the originals. Our bounded AI contract-review prompt provides a starting structure. Escalate ambiguous wording or material consequences to qualified counsel before acting.
Method: We compared the two published examples below. The worksheet and scenarios are original preparation aids, not a legal interpretation of a reader's contract.
When ending an agreement, prepare the termination letter template after checking its notice requirements.
For a worked document hierarchy, compare the master service agreement template and its matching project record.
